Terms of service
The terms on which ARVION LLC makes this website and the ARVION platform available. Opening an account also requires a merchant agreement, which prevails over these terms.
1. Scope
These terms apply to the use of the website and of the ARVION platform (dashboard, API, SDKs, plugins and webhooks) by any visitor or merchant. By using the website or the platform you accept these terms. A merchant that opens an account also signs a merchant agreement with ARVION LLC and accepts the terms of the payment partners that process its transactions; those documents take precedence over these terms where they differ.
2. The service
ARVION provides software that lets a merchant accept payments from its customers in multiple currencies and methods, screens transactions for fraud, calculates applicable taxes, reports on activity, manages disputes and schedules payouts. The current description of the service, its coverage and its published rates are those shown on the website at the time of use.
Payment processing, the holding of funds, foreign exchange and settlement are carried out by regulated third-party payment service providers and acquiring partners. ARVION does not hold funds and is not a bank. Payout timing, reserves and the availability of specific payment methods depend on those partners and on the approval of the merchant account.
3. Eligibility and account
The platform is offered to businesses, not to consumers. A merchant must provide accurate information about its business, its beneficial owners and its activity, keep that information up to date, and complete the identity and compliance checks required by our payment partners. We may decline, suspend or close an account where these checks are not satisfied, where the activity falls under the acceptable use policy, or where required by a partner or by law.
The merchant is responsible for keeping its API keys and dashboard credentials confidential and for all activity carried out with them. Suspected compromise must be reported to contact@arvioon.io without delay.
4. Fees, reserve and payouts
Fees are those published on the pricing page for the Standard plan, or those stated in the merchant agreement for the Professional and Enterprise plans. Fees are deducted from the amounts settled to the merchant and are itemised on the statement issued with each payout. There is no set-up fee and no minimum term.
A rolling reserve, 10% on the Standard plan unless otherwise agreed, is withheld from settled amounts and released on a rolling basis to cover refunds, chargebacks and fees. Settled funds are paid out the next business day by default; a merchant may select a different schedule. Payouts may be delayed or withheld where a transaction is under review, where a dispute is open, or where a payment partner or the law requires it.
5. Merchant obligations
- Sell only goods and services that are lawful and permitted under the acceptable use policy.
- Display accurate descriptions, prices, delivery and refund terms to customers.
- Honour refunds and respond to disputes within the deadlines shown in the dashboard.
- Collect and remit taxes due in the jurisdictions where it sells; the tax calculation provided by the platform is an aid, not advice.
- Comply with card network rules and with the terms of the payment partners.
- Not use the platform for any purpose other than accepting payment for its own business.
6. Availability and changes
We aim to keep the platform available at all times but do not guarantee uninterrupted operation except where a service level is agreed in writing under an Enterprise plan. We may change the platform, its features and these terms; material changes are notified by email to account holders at least 30 days before they take effect, except where a change is required by law or by a payment partner.
7. Intellectual property
The platform, its documentation and its SDKs remain the property of ARVION LLC and its licensors. The merchant receives a non-exclusive, non-transferable licence to use them for the purpose of accepting payments while its account is open. Data the merchant submits remains the merchant's; we use it to provide the service as described in the privacy policy.
8. Liability
To the extent permitted by law, ARVION LLC is not liable for indirect or consequential loss, loss of profit, loss of business or loss of data arising from the use of the website or the platform. Our aggregate liability for any claim arising in a calendar year is limited to the fees paid by the merchant to ARVION in that year. Nothing in these terms limits liability for fraud, wilful misconduct, or any liability that cannot be limited by law.
9. Termination
A merchant may close its account at any time from the dashboard or by email. We may suspend or close an account on notice, or immediately in case of breach of these terms, of the acceptable use policy, or of a partner's requirement. On closure, settled funds are paid out according to the payout schedule, subject to the rolling reserve, which is released once the period for chargebacks has elapsed.
10. Governing law and venue
These terms are governed by the laws of the Commonwealth of Kentucky, without regard to its conflict-of-law rules. Any dispute arising from these terms or from the use of the platform shall be brought exclusively before the state or federal courts located in Kentucky, and each party submits to the personal jurisdiction of those courts.
11. Contact
Questions about these terms: contact@arvioon.io, or by post to the address on the company information page.
